Real Estate Finance
The firm’s real estate finance practice covers all types of financing requirements including acquisition and construction loans, bridge and mezzanine financing and permanent loans secured by all types of properties, such as retail centers, office complexes, mixed use sites, hotels and resorts, industrial complexes, multifamily housing and raw land. We also work with lenders and property owners in structuring loan workouts and modifications, deeds in lieu of foreclosure, loan assumptions and the sale of loan portfolios and pools.
We have extensive institutional finance experience, having represented capital market lenders, pension funds and borrowers in the origination of portfolio and securitized commercial mortgage loans. Our expertise includes mortgages secured by retail centers, office buildings, hotels, industrial, multi-family and single tenant properties, forward funding commitments, complex cash management structures and compliance with capital market lending requirements.
Buy/Sell/Develop
We collaborate with and represent property owners and developers in purchase and sale transactions and the development of almost all types of commercial properties, including retail centers, office complexes, mixed use sites, hotels and resorts, multifamily housing, industrial facilities and raw land. Each transaction we work on has a strategic purpose and goal for the buyer, seller or developer. Achieving that goal is our mission. We team with our clients to plan and negotiate the structure of the deal, the due diligence review of the property and the legal components critical to operating the business, obtaining new financing or paying off existing debt and the closing process.
Leasing
Our leasing practice encompasses retail, office, multi-family, industrial and mixed-use properties. We represent both landlords and tenants in various kinds of leasing transactions including initial leases, options, subleases, assignments, subordination and attornment agreements with lenders and ground leases. We also advise hotel operators and negotiate hotel management agreements. Our firm is the exclusive leasing counsel to one of Southern California’s premiere shopping center owners and a well respected boutique hotel operator.
Property Management
Our property management practice advises owners in the day to day operational issues for retail, office, hospitality, industrial and other special property types. Typical matters include landlord-tenant disputes, property condition issues, staffing and risk management. Our property management involvement helps clients run their businesses successfully.
Business Entity Formation
Many real estate transactions involve a business entity formed specifically for that project. Though often considered a minor part of the overall transaction, properly selecting and forming the project business operating entity is critically important. We are experienced and skilled in identifying the requirements the business entity must address to make the project work. Whether the chosen entity is a joint venture, limited partnership, an LLP, a corporation or an LLC, our lawyers routinely counsel on the benefits of each, design the structure, then create the entity.
